Terms of Service

These Terms of Service ("Terms") govern your use of the OningEdu platform operated by Oning Media Solutions Private Limited ("Company", "we", "us", or "our"). By accessing or using our platform, you agree to these Terms.

1. Definitions

1.1 "Platform" refers to OningEdu and all associated services accessible via oningedu.com and its sub-domains.

1.2 "Institution" refers to any university, college, school, coaching centre, or educational organisation that subscribes to our services.

1.3 "User" refers to any individual who accesses the platform — including students, teachers, parents, administrators, and institutional staff.

1.4 "AI Services" refers to AI-powered features including text chat, voice chat, textbook AI, worksheet generation, handwriting evaluation, and concept mastery tracking.

1.5 "Content" refers to textbooks, study materials, system prompts, worksheets, and other educational material uploaded to or generated by the platform.

2. Eligibility

2.1 Institutions: Any registered educational institution in India can subscribe to OningEdu.

2.2 Individual Users: Users must be registered through their institution. Direct individual subscriptions are not currently available.

2.3 Age: Students under 18 years of age must be registered by their institution with parental/guardian awareness. The platform includes safety features specifically designed for minor users.

3. Account & Access

3.1 Each user receives one account linked to their institution. Multi-institution access is not supported on a single account.

3.2 You are responsible for maintaining the confidentiality of your login credentials.

3.3 Institutions are responsible for managing their users — adding students, assigning roles, and removing inactive accounts.

3.4 We reserve the right to suspend or terminate accounts that violate these Terms.

4. Acceptable Use

You agree to use the platform only for educational purposes. You must NOT:

4.1 Use the AI to generate content that is harmful, threatening, abusive, defamatory, obscene, or otherwise objectionable.

4.2 Attempt to bypass the safety filter or manipulate the AI into generating inappropriate responses.

4.3 Share your account credentials with others.

4.4 Use the platform for commercial purposes unrelated to your institution's educational activities.

4.5 Reverse-engineer, decompile, or attempt to extract the source code of the platform or its AI systems.

4.6 Upload malicious content, viruses, or harmful files.

4.7 Scrape, harvest, or collect data from the platform using automated tools.

4.8 Impersonate another user or institution.

5. AI Services — Important Disclaimers

5.1 AI responses are generated by artificial intelligence and may occasionally contain errors, inaccuracies, or incomplete information. Users should verify critical information with their teachers, textbooks, or other authoritative sources.

5.2 OningEdu's AI is designed as a learning aid — not a replacement for teachers, tutors, or human instruction.

5.3 AI does not provide medical, legal, financial, or psychological advice. Any such content in AI responses is for informational purposes only.

5.4 We continuously improve AI response quality but cannot guarantee 100% accuracy at all times.

5.5 Conversation data may be reviewed by our quality team to improve AI accuracy and safety, in accordance with our Privacy Policy.

6. Institutional Subscriptions

6.1 Institutions subscribe to OningEdu through plans (Starter, Standard, Pro, Premium) with defined features, student limits, and quotas.

6.2 Pricing is as listed on our pricing page and may be updated with 30 days' prior notice to active subscribers.

6.3 Payment terms: Monthly or annual billing as per the subscription agreement. Invoices are generated on the 1st of each month.

6.4 Non-payment: Accounts with payments overdue by more than 30 days may be suspended. Student access will be restricted until payment is received.

6.5 Refund policy: Annual subscriptions may be cancelled within 14 days for a full refund. After 14 days, no refunds are provided for the remainder of the term. Monthly subscriptions may be cancelled at any time; no refund for the current month.

7. Intellectual Property

7.1 The OningEdu platform, including its design, code, AI systems, brand names (AiProfessor, AiTeacher, AiTutor, AiMentor), and documentation, is the intellectual property of Oning Media Solutions Private Limited.

7.2 Content uploaded by institutions (textbooks, study materials, system prompts) remains the intellectual property of the respective institution.

7.3 AI-generated content (responses, worksheets, flashcards) is provided for educational use by the subscribing institution and its users. Commercial redistribution of AI-generated content is prohibited.

7.4 Institutions may use OningEdu's white-label branding features to display their own brand within the platform. This does not transfer any intellectual property rights.

8. Data Ownership

8.1 Institutions own their data — student records, academic performance, usage analytics, and uploaded content.

8.2 Upon termination of subscription, institutions may request a full export of their data within 60 days. After 60 days, data will be deleted per our retention policy.

8.3 OningEdu retains the right to use anonymised, aggregated data (with no personally identifiable information) for platform improvement and analytics.

9. White-Label & Branding

9.1 Institutions may customise the platform appearance with their logo, colours, app name, and tagline.

9.2 The underlying platform technology remains OningEdu's property. White-labelling is a feature of the subscription, not a transfer of ownership.

9.3 Institutions must not misrepresent OningEdu's technology as their own proprietary development.

10. Limitation of Liability

10.1 OningEdu is provided "as is" without warranties of any kind, express or implied.

10.2 We are not liable for any indirect, incidental, special, or consequential damages arising from use of the platform.

10.3 Our total liability for any claim shall not exceed the amount paid by the institution in the 3 months preceding the claim.

10.4 We are not responsible for academic outcomes, exam results, or learning performance. OningEdu is a supplementary learning tool, not a guarantee of academic success.

11. Termination

11.1 Either party may terminate the subscription with 30 days' written notice.

11.2 We may immediately terminate or suspend access for serious violations of these Terms, including safety breaches, payment fraud, or illegal use.

11.3 Upon termination, student access ceases immediately. Institution admins retain read-only access for 30 days to export data.

12. Governing Law & Disputes

12.1 These Terms are governed by the laws of India.

12.2 Any disputes shall be subject to the exclusive jurisdiction of the courts in [Placeholder — City], India.

12.3 Before initiating legal proceedings, parties agree to attempt resolution through good-faith negotiation for a period of 30 days.

13. Changes to Terms

We may update these Terms from time to time. Active subscribers will be notified of material changes via email at least 15 days before the changes take effect.
